1. Purpose

These Terms govern access to and use of the website, forms, and communication channels of Kairosia, as well as interaction with its contents, newsletters, and informational materials. By using the services, the user accepts these Terms.

b) It does not constitute financial, legal, tax, or investment advice.

3. No obligation to invest or evaluate opportunities

a) Kairosia assumes no obligation to evaluate, respond, advance, finance, or invest in any opportunity received.
b) Kairosia may reject, prioritize, pause, or terminate the analysis of opportunities at its sole discretion without justification.
c) Submission of material by founders/third parties does not create a contractual relationship, mandate, agency, or investment expectations.

4. Confidentiality and unsolicited submissions

a) Unless a bilaterally signed NDA exists, Kairosia does not guarantee confidentiality of unsolicited information.
b) The user declares that they are authorized to share the information sent and that it does not infringe third-party rights.
c) Kairosia may retain, classify, or delete received information according to its internal policy and applicable regulations.

5. Regulatory compliance (KYC/AML and sanctions)

Any potential investment or collaboration relationship will be subject to KYC/AML processes, sanction verifications, and other compliance controls, with Kairosia being able to withdraw at any time if results are unsatisfactory.

6. Intellectual property

Site contents (trademarks, logos, texts, images, software, design) are owned by Kairosia or third-party licensors and are protected. The user acquires no rights over them. Unauthorized reproduction or use is prohibited.

7. Permitted use

The user agrees not to: (i) violate the law or third-party rights; (ii) introduce malware or attempt unauthorized access; (iii) use the services for spam, illicit solicitation, or unauthorized commercial purposes.

9. Limitation of liability

To the maximum extent permitted by law:
a) Services are provided "as is" and "as available," without warranties of accuracy, continuity, or suitability.
b) Kairosia, its directors, and collaborators shall not be liable for indirect damages, loss of profits, data, opportunities, or reputation arising from the use or inability to use the site or user decisions based on published information.
c) Kairosia's total liability, if any, shall be limited to €100.

10. Data protection

Processing of personal data is governed by Kairosia's Privacy Policy and Cookie Policy, in accordance with GDPR and Spanish regulations. By using the services, the user acknowledges having read them.

If any clause is invalid, the remaining ones shall remain in force. The affected provision shall be interpreted in a way that approximates the original purpose.

15. Applicable law and jurisdiction

These Terms are governed by Spanish law. For any dispute, the parties submit to the Courts of Barcelona (Spain), except mandatory consumer protection rules that establish another jurisdiction.
